Welcome to Memory Mount. These Terms of Service (“Terms”) govern your access to and use of Memory Mount’s websites, mobile applications, digital services, products, and related features (collectively, the “Services”).

Throughout these Terms, “Memory Mount,” “we,” “us,” and “our” refer to Memory Mount. “You” and “your” refer to any person accessing or using our Services.

By accessing our website, creating an account, using the Memory Mount platform, or purchasing or using a Memory Mount product, you agree to these Terms.

If you do not agree to these Terms, please do not use our Services.

1. Memory Mount Services

Memory Mount provides physical and digital products designed to help users preserve and access memories associated with hunting, fishing, taxidermy, trophies, and outdoor experiences.

Depending on the product or service, Memory Mount may allow users to:

• Upload and store photos, videos, stories, and harvest information
• Associate digital content with a Memory Mount product
• Access memories through NFC-enabled products, links, or other technologies
• Organize and manage hunting or outdoor memories
• Share certain memories or information with others
• Purchase Memory Mount products
• Access features through the Memory Mount website, mobile application, or related platforms

Features may change, improve, or be discontinued over time.

2. Eligibility

You must be legally capable of entering into a binding agreement to use the Services.

If you use Memory Mount on behalf of a business or organization, you represent that you have authority to accept these Terms on its behalf.

Parents or legal guardians are responsible for the use of Memory Mount by minors under their supervision.

3. User Accounts

Certain features may require a Memory Mount account.

You are responsible for maintaining the confidentiality and security of your account credentials and for activity occurring through your account.

You agree to provide accurate information and keep your account information reasonably current.

You may not impersonate another person, create an account using false information, or access another user’s account without authorization.

If you believe your account has been compromised, contact support@memorymount.com.

4. User Content

Memory Mount may allow you to upload photographs, videos, written stories, harvest information, locations, descriptions, and other content (“User Content”).

You retain ownership of the content you upload to Memory Mount.

By uploading User Content, you grant Memory Mount a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, display, transmit, and otherwise use that content only as reasonably necessary to operate, maintain, improve, and provide the Services to you and those with whom you choose to share your content.

This license does not transfer ownership of your User Content to Memory Mount.

You represent that you own your User Content or otherwise have the necessary rights and permissions to upload and use it through Memory Mount.

5. Your Photos, Videos and Stories

Memory Mount is built around preserving personal memories. We recognize that the photos, videos, stories, and information you upload may have significant personal value.

We do not claim ownership of your memories.

We will handle User Content in accordance with our Privacy Policy and applicable law.

You are responsible for maintaining your own copies or backups of important photographs, videos, and other content. Memory Mount should not be used as the sole permanent backup location for irreplaceable media.

6. Prohibited Content and Conduct

You may not use Memory Mount to upload, distribute, store, or share content that:

• Violates applicable law
• Infringes copyrights, trademarks, privacy rights, or other rights belonging to another person
• Contains malicious software or harmful code
• Is fraudulent or intentionally deceptive
• Exploits or endangers minors
• Is otherwise unlawful or prohibited by these Terms

You may not attempt to interfere with, reverse engineer, disrupt, damage, or gain unauthorized access to Memory Mount systems, accounts, software, or infrastructure.

We reserve the right to remove content or restrict access when reasonably necessary to protect users, Memory Mount, or comply with applicable law.

7. Hunting and Outdoor Content

Memory Mount is designed for hunters, anglers, taxidermists, and members of the outdoor community.

Users may upload lawful hunting, fishing, harvest, taxidermy, and outdoor-related content.

Users are solely responsible for ensuring that their activities and uploaded content comply with applicable hunting, fishing, wildlife, licensing, and other laws and regulations.

Memory Mount does not verify whether a particular harvest or outdoor activity complied with applicable regulations.

8. Location Information

Certain Memory Mount features may allow users to enter or associate location information with a hunt, harvest, trophy, or memory.

You control the information you choose to provide.

You are responsible for determining whether you wish to include sensitive hunting locations, property information, or other location data in your Memory Mount.

Do not upload or publicly share location information that you do not have the right to disclose.

9. NFC Products and Device Compatibility

Certain Memory Mount products use Near Field Communication (“NFC”) technology.

NFC functionality depends on factors outside Memory Mount’s control, including the user’s smartphone, device settings, operating system, browser, NFC capabilities, internet connection, product placement, and other environmental or technical conditions.

We cannot guarantee that every device will interact with every Memory Mount product in exactly the same manner.

If you experience difficulty using a Memory Mount product, contact support@memorymount.com before removing, modifying, or replacing the product.

10. Product Installation

Certain Memory Mount products may require mounting, installation, attachment, or integration into a taxidermy display.

You are responsible for following applicable installation instructions.

Memory Mount is not responsible for damage caused by improper installation, misuse, unauthorized modification, or installation inconsistent with the product’s intended purpose.

For products installed by independent taxidermists, retailers, contractors, or other third parties, those businesses remain responsible for their independent services and workmanship.

11. Authorized Taxidermists and Retail Partners

Memory Mount may work with independent taxidermists, retailers, outfitters, dealers, and other partners.

Unless expressly stated otherwise in a separate written agreement, these businesses are independent third parties and are not employees, agents, or legal representatives of Memory Mount.

Memory Mount is not responsible for the independent workmanship, business practices, pricing, services, representations, or conduct of third-party businesses.

12. Orders and Payment

Prices displayed through our website are listed in U.S. dollars unless otherwise stated.

By placing an order, you represent that the payment information you provide is accurate and that you are authorized to use the selected payment method.

We reserve the right to refuse, cancel, limit, or refund an order when reasonably necessary, including in cases involving:

• Pricing or listing errors
• Suspected fraud
• Payment issues
• Inventory errors
• Unauthorized resale
• Violations of these Terms

If we cancel an order after payment has been collected, the applicable amount will be refunded.

13. Shipping

Shipping and delivery estimates are estimates only and are not guaranteed unless expressly stated otherwise.

Memory Mount is not responsible for delays caused by carriers, weather, incorrect addresses, customs, natural disasters, or other circumstances outside our reasonable control.

Customers are responsible for providing accurate shipping information when placing an order.

14. Returns, Refunds and Warranty

Purchases are subject to our applicable Return & Refund Policy and any warranty terms provided with the specific product.

Certain products that have been installed, modified, personalized, paired, or permanently attached may not qualify for standard returns.

Nothing in these Terms limits rights that cannot legally be waived under applicable consumer-protection law.

15. Intellectual Property

The Memory Mount name, logos, designs, software, website, application, graphics, product designs, text, trademarks, slogans, and other Memory Mount materials are owned by or licensed to Memory Mount and are protected by applicable intellectual-property laws.

Except as expressly permitted by us, you may not copy, reproduce, modify, distribute, sell, license, reverse engineer, or commercially exploit Memory Mount intellectual property.

Uploading your own User Content does not give Memory Mount ownership of that content.

16. Third-Party Services

Memory Mount may integrate with or provide links to third-party websites, platforms, applications, payment processors, cloud services, app stores, or other services.

Those third-party services may be governed by their own terms and privacy policies.

Memory Mount is not responsible for third-party services that we do not own or control.

17. Availability of the Services

We work to keep Memory Mount available and reliable, but no digital service can guarantee uninterrupted operation.

The Services may occasionally be unavailable because of maintenance, updates, internet outages, hosting failures, third-party service interruptions, security issues, or circumstances outside our control.

We may modify, update, suspend, or discontinue features when reasonably necessary.

18. Changes to Features and Services

Memory Mount is an evolving platform.

We may introduce, modify, replace, or discontinue products, software features, storage limits, technical requirements, integrations, or other aspects of the Services.

Where appropriate, we will make reasonable efforts to communicate material changes that significantly affect existing users.

19. Disclaimer of Warranties

To the fullest extent permitted by law, except for any express written warranty provided by Memory Mount, the Services are provided on an “as is” and “as available” basis.

We do not guarantee that the Services will always be uninterrupted, error-free, compatible with every device, or free from every technical issue.

Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.

20. Limitation of Liability

To the fullest extent permitted by applicable law, Memory Mount will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of the Services.

This includes, where permitted by law, loss of data, lost profits, business interruption, or loss resulting from circumstances outside our reasonable control.

Nothing in these Terms excludes or limits liability where doing so would be prohibited by law.

21. Indemnification

To the extent permitted by law, you agree to indemnify and hold Memory Mount harmless from claims, damages, liabilities, and reasonable expenses arising from your unlawful use of the Services, violation of these Terms, infringement of another person’s rights, or User Content that you did not have the right to upload or distribute.

22. Account Suspension or Termination

We may suspend or terminate access to the Services if we reasonably believe that an account is being used fraudulently, unlawfully, abusively, or in material violation of these Terms.

You may stop using Memory Mount at any time.

Where available, account deletion requests may be submitted through the application or by contacting support@memorymount.com.

23. Privacy

Your use of Memory Mount is also subject to our Privacy Policy.

Our Privacy Policy explains how we collect, use, store, and protect personal information associated with the Services.

24. Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any dispute relating to these Terms or the Services will be handled in accordance with applicable law and any dispute-resolution provisions separately agreed between you and Memory Mount.

25. Changes to These Terms

We may update these Terms from time to time as Memory Mount, our products, or applicable legal requirements evolve.

When material changes are made, we may update the “Last Updated” date and provide additional notice when appropriate.

Your continued use of the Services following an effective update constitutes acceptance of the revised Terms to the extent permitted by law.

26. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.

27. Entire Agreement

These Terms, together with our Privacy Policy, Return & Refund Policy, applicable warranty terms, and any other policies expressly incorporated by reference, constitute the agreement governing your use of the Services unless you have entered into a separate written agreement with Memory Mount.

Separate agreements with authorized retailers, taxidermists, dealers, sales representatives, or other business partners may contain additional or different terms.
